The value of being responsible: the effect of a target firm’s ESG performance on the acquisition premium

Η συγκεκριμένη Εργασία διερευνά εάν υπάρχει κάποια συσχέτιση μεταξύ της συνολικής απόδοση ESG μιας εταιρείας, καθώς και των επιμέρους αποδόσεων της για κάθε μια από τις σχετικές κατηγορίες του ESG (Περιβαλλοντική απόδοση, Κοινωνική Ευθύνη και Θέματα Διακυβέρνησης) , και της τελικής αξία αγοράς στα πλαίσια εξαγορών και συγχωνεύσεων. Με συγκεκριμένη έρευνα αποδεικνύεται ότι η απόδοση ESG μιας εταιρείας "στόχου" κατά την εξαγορά επηρεάζει θετικά την αξία αγοράς της.This study investigates the effect of ESG performance on the acquisition premiums of completed Mergers and Acquisitions. We also examine the effect of each of the ESG individual pillars on the bid premiums. The findings of this analysis show that Acquirers positively value the targets ESG performance and are willing to pay a higher premium when the overall ESG performance is higher. Additionally, we also find a strong and positive relationship between the individual Environmental Performance of the Target and the premium paid for the acquisition. These findings though do not hold for the other two individual pillars of ESG associated with Governance and Social performance where we do not find a substantially significant impact on the final acquisition premium paid.
