This thesis explores the intricate landscape of Mergers and Acquisitions (M&A) negotiations,utilizing the Disney-Fox merger as a comprehensive case study. It begins by establishing thetheoretical underpinnings of M&A transactions, navigating the landscape of American corporatelaw, and categorizing mergers based on their nature. The study unfolds the dichotomy betweendistributive negotiations, driven by fixed values and competing interests, and integrativenegotiations, which seek synergies and value creation. Drawing insights from the merger of Intrakatand Gaia Anemos S.A., the research explores exchange ratios and share capital dynamics.Transitioning to the Disney-Fox merger, the pre-negotiation phase scrutinizes key players, third-party influencers, target selection, and due diligence. The negotiation process is dissected, focusingon how antitrust considerations and legal nuances influence it. In the post-negotiation phase, thestudy seeks the complexities of implementing the merger agreement after its execution and itsimpact on the market.
